Co-Operative Societies Act 2008 143. Conversion 1. A company registered under the Companies Act or a registered non-profit or friendly society may, by special resolution, determine to convert itself into a registered society. 2. Any such resolution for conversion into a registered society shall appoint ten persons, members of a company, industrial, provident or friendly society, as the case may be, who together with the secretary, shall sign the rules and who may, by resolution, be given such powers to act on behalf of the company, industrial, provident or friendly society, as may be specified in such resolution. 3. A copy of the special resolution referred to in subsection (1) with 3 copies of the by-laws shall be sent to the Registrar who may, upon receipt thereof, register the society and issue a certificate in accordance with section 13.    |
